These terms exist to protect both parties — you and us. They set clear boundaries around how the Platform can be used, what we are responsible for, and what we are not. Please read them before using StackFlippers.
These Terms of Service ("Terms") govern your access to and use of the StackFlippers platform at stackflippers.com (the "Platform"), operated by StackFlippers ("we," "our," or "us").
By accessing or using the Platform in any capacity — browsing, submitting, or transacting — you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Eligibility and Permitted Use
The Platform is designed for individuals and entities engaged in the evaluation, acquisition, or sale of software-as-a-service businesses. Use is permitted only for lawful purposes consistent with these Terms.
You confirm that you are:
- At least 18 years of age
- Legally capable of entering into binding contracts in your jurisdiction
- Not subject to any legal restriction that would prohibit your use of this Platform
2. Listings and Information Accuracy
StackFlippers applies verification processes to listings before publication. We review financial metrics, verify key figures where possible, and reject submissions that do not meet our quality threshold. However, we are not auditors, and we cannot guarantee the absolute accuracy or completeness of any listing data.
All information presented on listing pages is for informational purposes only. Prospective buyers are expected to conduct independent due diligence before committing to any acquisition. Verified figures should be confirmed directly with the seller through appropriate documentation.
We reserve the right to remove, modify, delist, or suspend any listing at any time — without prior notice — if we determine it to be inaccurate, misleading, or in violation of our standards.
3. No Transaction Guarantee
StackFlippers facilitates introductions and discussions between parties. The existence of a listing on our Platform does not constitute a binding offer, guarantee of availability, or assurance of transaction completion.
Any acquisition agreement — whether StackFlippers is a direct party or an intermediary — is a matter solely between the transacting parties. We are not liable for the performance, terms, or outcome of any transaction that originates through the Platform.
4. User Responsibilities
By using the Platform, you agree to:
- Provide accurate, truthful information in all forms and submissions
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized account access
- Conduct your own due diligence before committing to any acquisition
- Treat all non-public information shared during acquisition discussions as strictly confidential
- Use Platform data only for the purpose of evaluating or facilitating a legitimate acquisition
5. Submission Standards
When you submit information to the Platform — through any form, including sell, sell-to-us, inquiry, or offer forms — you represent that:
- All submitted information is accurate and not intentionally misleading
- You have the legal authority to submit and, where applicable, to sell or transfer the business described
- The business described is real, operational, and not insolvent or fraudulent
- You consent to being contacted via the details provided
- Submission does not guarantee listing, evaluation, or a response
We reserve the right to reject any submission without explanation.
6. Intellectual Property
All Platform content — including design, copy, graphics, code, and data structures — is the intellectual property of StackFlippers or its licensors. Unauthorized reproduction, distribution, or derivative use is prohibited without written permission.
By submitting content to the Platform, you grant StackFlippers a limited, non-exclusive, royalty-free license to display and distribute that content solely in connection with operating the Platform and facilitating transactions.
7. Prohibited Conduct
You may not use the Platform to:
- Scrape, harvest, or systematically extract listing data or user information
- Submit fraudulent, false, or materially misleading business information
- Attempt unauthorized access to any part of the Platform or its infrastructure
- Interfere with the performance or integrity of the Platform
- Contact other users for purposes unrelated to a legitimate acquisition
- Circumvent access controls, rate limits, or security measures
- Engage in any conduct that violates applicable law
We may terminate access immediately for violations, and pursue legal remedies where appropriate.
8. Limitation of Liability
To the fullest extent permitted by law, StackFlippers is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including:
- Errors or omissions in listing data
- Failed, incomplete, or disputed acquisitions
- Business losses incurred post-acquisition
- Unauthorized access to or modification of your account or data
- Conduct or misrepresentations by third-party buyers or sellers
Our aggregate liability for any claim arising from Platform use shall not exceed the greater of (a) fees paid to us in the 12 months prior to the claim, or (b) USD $100.
9. Indemnification
You agree to indemnify and hold harmless StackFlippers, its officers, employees, and agents from any claims, damages, or expenses — including reasonable legal fees — arising from your use of the Platform, violation of these Terms, or infringement of any third-party right.
10. Third-Party Links and Integrations
The Platform may link to or integrate with third-party services. These are provided for convenience. StackFlippers does not endorse and accepts no responsibility for the practices, content, or terms of any third-party site or service.
11. Modifications
We may update these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Platform after any update constitutes acceptance of the revised Terms.
We also reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, without notice or liability.
12. Governing Law
These Terms are governed by applicable law in the jurisdiction where StackFlippers operates. Disputes will be addressed through good-faith negotiation in the first instance, and through appropriate legal channels where resolution cannot be reached.
